Resolution relating to the funds held by the Rent Deposit Scheme
At its meeting on 16th October 2007, the Board of Trustees of Wintercomfort for the homeless, by a majority of not less than two-thirds of the members of the Board, resolved that Wintercomfort, as trustee and charity trustee of the Rent Deposit Support Scheme (“the RDSS”, a restricted fund of Wintercomfort, the gross income of which in its last financial year did not exceed £5,000, which holds no land, and which is neither an exempt charity nor a charitable company), that all of the property of the RDSS be transferred to Wintercomfort (being a registered charity) for the general purposes of Wintercomfort. In so resolving the Board further agreed that they were satisfied that
- that the existing purposes of the RDSS had ceased to be conducive to a suitable and effective application of the resources of the RDSS; and
- that the purposes of the Wintercomfort are as similar in character to the purposes of the transferor charity as is reasonably practicable;
The Board further agreed, in the course of discussion of the above resolution and before approving it, as charity trustees of Wintercomfort, to authorise the Chairman to sign and deliver to the Secretary confirming the willingness of Wintercomfort to accept the transfer of the property of the RDSS.
Having regard to the inquiries already made and reported to the Charity Commission in a letter dated 1 August 2007 by the Director of Wintercomfort, the Board agreed that sufficient public notice of the above resolution will be provided by the publication of a notice of this Minute on the Wintercomfort website inviting representations within a period of seven days from the date of publication. The Board further agreed that, if no representations are received within that period, the Director of Wintercomfort should send the resolution to the Charity Commission, drawing the Commission’s attention to the Board’s reasons for passing it, as set out in the letter of 1 August 2007.
